Terms of Service

Last updated October 11, 2026 · Version 2.0

  • These terms are an agreement between you and Global Digital Labs Ltd, the company that runs EduAgentic.
  • Many accounts are created and managed by a school, college, academy or other organisation. A child under the age of digital consent in their country uses EduAgentic through their organisation or with a parent or guardian.
  • Use EduAgentic to learn and teach, respect other people and follow the Acceptable Use Policy.
  • You keep the rights in what you create. You give us only the permission we need to host and show it in the service.
  • AI features can be wrong. Check important answers and use AI output as a starting point, not as a final judgement.
  • Paid plans are monthly subscriptions. If you cancel, you keep access until the end of the period you have paid for; payments are not refunded except where the law requires it.
  • These terms are governed by Scots law. If you are a consumer, you keep the protection of the mandatory laws of the country where you live.

This summary highlights the main points. The full text below is what applies.

1.About these terms

These Terms of Service (the “Terms”) govern your use of EduAgentic, including the web application, its public pages, live classrooms and related services (together, the “Service”). The Service is operated by Global Digital Labs Ltd, a private limited company registered in Scotland under company number SC463994, whose registered office is at 45 Lagrannoch Drive, Callander, Perthshire, FK17 8DW, United Kingdom (“we”, “us”, “our”). EduAgentic is our platform and brand.

By creating an account, signing in or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it. If you do not agree, do not use the Service.

These Terms work together with our Privacy Policy, which explains how we use personal data, our Cookie Policy and our Acceptable Use Policy. An organisation that buys the Service may also have a separate written agreement with us; where that agreement conflicts with these Terms, the agreement prevails for that organisation.

2.Definitions

In these Terms:

  • Organisation means a school, college, university, academy, training provider or other body that uses EduAgentic for its learners and staff and administers its own space on the Service.
  • Space means an Organisation's own area of the Service, with its own members, courses, settings and branding. People who learn on their own use EduAgentic's shared home space.
  • User or you means anyone who uses the Service: a learner, a parent or guardian, a teacher, an administrator or a guest.
  • Learner means a person who uses the Service to learn, including a child.
  • Parent or guardian means a person with parental responsibility for a learner who is a child, linked to that learner on the Service.
  • Child means a learner below the age of digital consent in their country (for example 13 in the United Kingdom and the United States, and between 13 and 16 in the European Union, depending on the country).
  • User Content means anything a User uploads, writes, records or creates on the Service, such as course material, assignments, messages, posts, artwork and code.
  • AI features means the parts of the Service that use artificial intelligence to generate text, questions, feedback or other output, including the learning companion LUMI.

3.The Service

EduAgentic is a learning platform. Depending on the plan and on the features an Organisation turns on, it includes courses and lessons, assignments and grading, practice and assessments, interactive content, live online classes and their recordings, messaging and posts, progress reports for learners, parents and teachers, games and rewards, and AI features.

Organisations decide how they use the Service in their Space: who may join, which courses are offered, which features are switched on, and how their learners are taught and assessed. We provide and operate the Service and remain responsible for it as described in these Terms and in the Privacy Policy.

We improve the Service continuously. We may add, change or remove features. If a change materially reduces a paid feature you rely on, we will tell you in advance where we reasonably can.

4.Accounts and eligibility

Who can have an account

Accounts are created in one of three ways: by an Organisation, which enrols its learners and staff or invites them; by a person who registers on their own; or by a parent or guardian, who creates and manages an account for their child. Administrator accounts are never self-registered; they are created by an authorised person at the right level.

A child can use the Service only through an Organisation that has enrolled them or through an account created by their parent or guardian. If you are a parent or guardian, you accept these Terms on behalf of your child and are responsible for supervising your child's use of the Service. If you are a learner under 18 who is old enough to register yourself, please read these Terms with a parent or guardian.

Keeping your account safe

Give accurate information and keep it up to date. Keep your password confidential and do not share your account. You can sign in with a password or, where your Organisation allows it, with your Google account. Tell us at support@eduagentic.ai if you think someone has used your account without permission.

If your account is managed by an Organisation, that Organisation's administrators can create, change, suspend or remove it and can see the information the Service shows them about your learning, as explained in the Privacy Policy.

5.Acceptable use

You must use the Service lawfully, safely and respectfully. Our Acceptable Use Policy forms part of these Terms. In particular, you must not:

  • harass, bully, threaten, discriminate against or exploit anyone, and in particular any child;
  • upload or share content that is unlawful, harmful, sexual, violent, hateful or that infringes someone else's rights;
  • share another person's personal data without a lawful reason, or record, copy or publish a live class or its recording without permission;
  • cheat in assessments or help others to cheat, or present AI output or someone else's work as your own where that is not allowed;
  • try to get around security, access accounts or data you are not authorised to access, probe or overload the Service, or introduce malicious code;
  • scrape, copy or resell the Service or use it to build a competing product, or use automated means to access it except through interfaces we provide for that purpose;
  • use the AI features to produce harmful, deceptive or unlawful content, or try to make them bypass their safety controls.

Teachers and administrators are also responsible for using the Service in line with their Organisation's policies and for treating learners' information with care.

6.Your content and our intellectual property

Your content

You keep all rights in your User Content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and transmit your User Content only as needed to provide, secure and support the Service for you and for the people you share it with. This licence ends when your User Content is deleted from the Service, except for copies we must keep as described in the Privacy Policy.

Course material that a teacher creates in an Organisation's Space may also be governed by the arrangement between that teacher and the Organisation. Where you share content with a class, a course or the public pages of a Space, you allow the people it is shared with to view and use it within the Service.

You are responsible for your User Content and confirm that you have the rights needed to upload it. We may remove or disable access to content that we reasonably believe breaks these Terms or the law, and we will act on valid notices of infringement sent to support@eduagentic.ai.

Our intellectual property

The Service, including its software, design, the EduAgentic and LUMI names and characters, and the learning material we provide, belongs to us or our licensors. We give you a limited, personal, non-exclusive, non-transferable licence to use the Service in line with these Terms. Third-party content shown in the Service, such as openly licensed interactive content or stock images, remains subject to its own licence.

If you send us feedback or ideas, we may use them without any obligation to you.

7.AI features

AI features generate output automatically. Output can be inaccurate, incomplete or unsuitable, even when it sounds confident. It is offered to support learning and teaching, not to replace the judgement of a teacher, a parent or the learner. Check important information, and do not rely on AI output for medical, legal, safety or other professional advice.

Teachers remain responsible for the grades, feedback, reports and support plans they give, including where they start from an AI draft. AI features never take decisions about a learner that have legal or similarly significant effects on them by themselves.

For a child in a family account, AI for learning is used only after a parent or guardian switches it on, and it can be switched off at any time. Organisations decide whether AI features are available in their Space. How AI features use personal data, including that it is not used to train AI models, is explained in the Privacy Policy.

8.Live classes and recordings

Live classes take place in online classrooms that we operate. Behave in a live class as you would in a physical classroom: follow the teacher's instructions, use your camera, microphone and chat respectfully, and do not share the joining link with people who are not invited.

A teacher or organiser may record a live class. The classroom shows clearly when a recording is running. Recordings are made available only to the people the class is shared with on the Service. You must not make your own copy of a live class or its recording, or share it outside the Service, without the permission of the organiser and of the people who appear in it.

Teachers and Organisations are responsible for deciding when recording is appropriate and for telling participants in advance, in particular where children take part.

9.Plans, payments and cancellation

Some parts of the Service are free and others require a paid plan. Prices and what each plan includes are shown on our pricing page or in the offer we send to an Organisation. Payments are processed by our payment provider, Stripe; we do not see or store your full card details.

Paid plans are monthly subscriptions. A subscription renews automatically each month, and the price is charged at the start of each period, until it is cancelled. Where a plan includes a free trial, the trial and the date on which charging starts are shown before you subscribe.

You can cancel at any time. When a subscription is cancelled, it does not renew: you keep access to the paid features until the end of the period you have already paid for, and the plan then ends. Payments are not refunded, including for any unused part of a period, except where the law requires a refund.

Some courses or tutoring sessions may be sold as one-off purchases. These are also not refundable, unless the seller (the Organisation or teacher who offers the course or session) decides to refund a purchase; a refunded purchase also ends the access it gave.

If a payment fails, we may suspend the paid features until it is made. Prices may change; we will tell you before a new price applies to your subscription, and you may cancel before it does. Prices include or exclude taxes as shown at checkout.

Points, coins, badges and other rewards in the Service's games and rewards features have no money value. They cannot be bought back, exchanged for money or transferred outside the Service.

If you are a consumer in the United Kingdom or the European Union, nothing in this section affects your statutory rights, including any right to cancel a contract for digital services where the law gives you one.

10.Availability and support

We work to keep the Service available and secure, but we do not promise that it will always be available, uninterrupted or free of errors. We may need to interrupt it for maintenance, updates or reasons beyond our control. Where we can, we will plan maintenance at quiet times and give notice of significant interruptions.

You can reach our support team at support@eduagentic.ai. Users of an Organisation's Space may first be asked to contact their Organisation's administrator about their account.

11.Suspension and ending the agreement

You can stop using the Service at any time. You can delete your own account from your account settings; a child's account is deleted by their parent or guardian or by their Organisation. Paid subscriptions end as described in section 9.

We may suspend or close an account, or remove access to a Space, if we reasonably believe that it breaks these Terms or the law, puts other users (in particular children) at risk, or exposes us or others to harm. Where it is appropriate and lawful, we will tell you why and give you a chance to respond. An Organisation may also suspend or remove the accounts in its Space.

When an account is closed, the personal data linked to it is deleted or anonymised as described in the Privacy Policy. Before you delete your account, you can download a copy of your data from your account settings.

Sections of these Terms that by their nature should continue after the agreement ends (for example on intellectual property, liability and governing law) continue to apply.

12.Disclaimers

We provide the Service with reasonable care and skill. Apart from that, and to the extent the law allows, the Service is provided “as is” and “as available”. We do not promise any particular learning outcome, grade or qualification, and we are not responsible for the content that Users or Organisations create or for third-party services that you choose to use alongside the Service.

Nothing in these Terms excludes or limits any rights you have by law that cannot be excluded or limited, including your rights as a consumer.

13.Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or our failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, and we do not provide the Service for any business, commercial or resale purpose.

If you use the Service for an Organisation or other business purpose, we are not liable for any loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, and our total liability arising from or in connection with the Service in any 12-month period is limited to the amount paid for the Service in that period, or to £100 where nothing was paid.

14.Responsibility for misuse

If you use the Service for an Organisation or other business purpose, you will compensate us for reasonable losses, costs and claims brought by third parties that arise from User Content you provide or from your use of the Service in breach of these Terms or the law. This does not apply to consumers or to children.

15.Governing law and disputes

These Terms, and any dispute or claim arising from or in connection with them or the Service, are governed by the law of Scotland, and the courts of Scotland have jurisdiction.

If you are a consumer living elsewhere in the United Kingdom or in the European Union, you also keep the protection of the mandatory provisions of the law of the country where you live and may bring proceedings in the courts of that country.

If you have a complaint, please contact us first at support@eduagentic.ai; most concerns can be resolved quickly that way.

16.Changes to these terms

We may update these Terms, for example when we change the Service or when the law changes. The date at the top of this page shows when they were last updated. If a change is material, we will tell you in the Service or by e-mail before it takes effect. If you do not agree with the change, you can stop using the Service and cancel any subscription before the change applies.

17.General

If any part of these Terms is found to be unenforceable, the rest remains in effect. If we do not enforce a right straight away, we may still enforce it later. You may not transfer your rights under these Terms without our consent; we may transfer ours to another company that takes over the Service, and we will tell you if that happens. These Terms do not give rights to anyone other than you and us.

These Terms are available in several languages. If there is any conflict between the English version and a translation, the English version prevails, to the extent the law allows.
